Defendant Lucy, Lady Duff-Gordon, a prominent fashion designer, entered into a written agreement with plaintiff Otis F. Wood. The agreement granted Wood the exclusive right for at least one year to place her endorsements on others’ designs and to market her own designs. In return, Lucy was to receive one-half of all profits and revenues derived from any contracts Wood made. The agreement did not contain an express promise from Wood that he would use any efforts to sell her designs or secure endorsements. Lucy subsequently placed her own endorsements on products without Wood’s knowledge and withheld the profits. Wood sued for breach of contract. Lucy moved to dismiss, arguing that the agreement was unenforceable for lack of consideration because Wood had not bound himself to do anything, making his promise illusory. The trial court denied the motion, the Appellate Division reversed, and the case came before the New York Court of Appeals.
