Case Brief Summary & Legal Analysis

3 min read

tl;dr: A “wellbore only” oil and gas assignment grants rights to the full vertical depth of the existing wellbore but no horizontal rights beyond it. The assignee can produce from any formation the wellbore traverses, even if it “captures” minerals owned by the assignor.

Legal Significance: Establishes that a “wellbore only” assignment is one of the narrowest conveyances in oil and gas law, limiting the grantee’s property rights strictly to the physical hole in the ground but including the right to produce from any formation accessible through that existing wellbore.

Case Facts & Court Holding

Key Facts & Case Background

Upland Resources’ predecessors in interest assigned their rights in an oil and gas well, the King “F” No. 2, to Petro Pro’s predecessor. The assignments conveyed all interest in the underlying leases “insofar and only insofar as said leases cover rights in the wellbore” of that specific well. At the time of the assignment, the well was producing from the deep Cleveland formation. Several years later, Upland, which retained the surrounding leasehold rights, drilled new wells on the same 704-acre unit to produce from the shallower Brown Dolomite formation. Petro Pro sued Upland for trespass and conversion, arguing the wellbore assignment granted it exclusive rights to produce from the entire 704-acre unit, or at a minimum, the right to produce from any formation accessible through the King “F” No. 2 wellbore. Upland contended the assignment was limited to producing only from the Cleveland formation within the physical wellbore. The parties filed competing motions for summary judgment to define the scope of the property interest conveyed.

Court Holding & Legal Precedent

Issue: Does an oil and gas lease assignment conveying rights “insofar and only insofar as said leases cover rights in the wellbore” grant the assignee rights to the surrounding leasehold acreage or limit the assignee to producing only from the formation open at the time of the assignment?
