Sprint Spectrum, L.P. (Sprint) contracted with Penncro Associates, Inc. (Penncro) for call center services. The agreement, memorialized in a Master Services Agreement (MSA) and a Contract Order, required Penncro to “maintain staffing levels” sufficient for “80,625 productive hours” per month, and obligated Sprint “to pay for 80,625 productive hours per month” at a set rate. This was a fixed-capacity contract, meaning Sprint paid for the availability of labor, not just hours worked. The MSA contained a limitation of liability clause (MSA § 13) stating neither party would be liable for “consequential damages,” which “include, but are not limited to, lost profits, lost revenues and lost business opportunities.” Throughout the contract’s early life, neither party fully performed; Penncro struggled with staffing, and Sprint’s call volume was lower than anticipated, so they informally agreed to bill for hours actually worked. Sprint later terminated the contract for cause, a basis the district court found to be a pretext, thus constituting a breach. Sprint did not contest liability on appeal, focusing solely on damages.
