The Kuspers (Landlord) leased farmland to a tenant, whose obligations were guaranteed and later assigned to Poll Farms (Tenant). The original written lease required any amendments to be in writing. The parties executed one formal, written amendment. Later, the parties allegedly agreed to a second, unwritten amendment that reduced rent retroactively and extended the lease term to February 2011. The parties never signed this Second Amendment. However, the Landlord alleged that both parties performed according to its terms, with the Tenant paying the reduced rent and the Landlord accepting it. When the Tenant later sought to vacate the property before the end of the extended term specified in the unwritten amendment, the Landlord sued for breach of contract. The Tenant moved for judgment on the pleadings, arguing the unwritten Second Amendment was unenforceable under the Indiana statute of frauds because it was a lease for more than three years and could not be performed within one year. The Tenant also argued the lease’s “no oral modification” clause barred the claim.
