Appellants Clarence and Glodean Johnson (Sellers) agreed to sell 160 acres to respondents Joe and Ann Utile (Buyers). The sale agreement required the Sellers to drill a new 16-inch well (Well No. 2) that could produce 1,000-1,200 gallons per minute (GPM). A dispute arose when the Sellers subsequently claimed that an existing, operative well (Well No. 1) was not included in the sale. The parties attempted to resolve this through a compromise memorialized in a letter from the Buyers’ attorney. The letter stated the Buyers would relinquish their claim to Well No. 1 “for and in consideration of” the Sellers leaving equipment on Well No. 2, “provided that” Well No. 2 was tested and capable of producing the specified GPM. The Sellers proceeded to drill Well No. 2. The Sellers claimed it tested successfully, but the Buyers asserted it never produced more than 300 GPM and soon went dry. The Buyers sued for damages, including the loss of Well No. 1 and the cost of drilling a third well.
