tl;dr: A company sent a price quotation for goods, which the recipient treated as an offer by sending purchase orders. The court held the quotation was not an offer because it lacked essential terms, thus no contract was formed, and the seller was not in breach.
Legal Significance: This case clarifies the critical distinction between a price quotation, which is generally an invitation to make an offer, and a legally binding offer. It highlights that an offer must be sufficiently definite in its terms to be capable of acceptance.

Case Facts & Court Holding
Key Facts & Case Background
Interstate Industries, Inc. (Interstate), an Illinois corporation with a facility in Indiana, engaged in business with Barclay Industries, Inc. (Barclay), a Delaware corporation based in New Jersey. On August 23, 1973, Barclay sent a letter to Interstate stating it could manufacture fiberglass panels to certain specifications. The letter, described as a “price quotation,” listed prices based on orders of “75,000 sq. ft. or more (truckload quantities) freight prepaid.” It did not specify a total quantity, delivery schedule, or payment terms. In November, Interstate mailed two purchase orders to Barclay’s New Jersey office for the panels. On January 16, 1974, Barclay sent a letter informing Interstate that it would be unable to supply the requested panels. Interstate sued Barclay in federal court in Indiana for breach of contract. The district court found it had personal jurisdiction over Barclay on the basis that a contract existed to supply goods in Indiana. Barclay appealed, arguing that no contract was ever formed.
