Plaintiff International Casing Group (ICG) and Defendant Premium Standard Farms (PSF) had a long-standing business relationship for the supply of hog casings. After their formal contracts expired, the parties continued to perform while negotiating new long-term output contracts for two facilities. The negotiations were conducted primarily via email between authorized representatives, Tom Sanecki for ICG and Kent Pummill for PSF. In a series of emails in June 2004, Pummill offered final terms, including a price reduction for one facility in exchange for a three-year contract term instead of five. Sanecki replied, “OK.” Immediately following this exchange, the parties began performing under the new pricing structure. However, PSF’s president never physically signed the formal contract documents that memorialized the agreement. After a subsequent management change at PSF, the new manager expressed dissatisfaction with the deal. PSF then sent ICG a notice of termination, arguing no enforceable contract had been formed due to a lack of a “meeting of the minds” and the absence of a formal signature. ICG sought a preliminary injunction to enforce the agreement.
