First American National Bank (“Lessor”) leased property to Chicken System. The lease prohibited assignment without the Lessor’s written consent. Chicken System orally assigned the lease to Performance Systems, Inc. (“PSI”) without obtaining consent. PSI took possession and paid rent directly to the Lessor, who accepted the payments but never formally consented to the assignment. PSI later defaulted and abandoned the premises. In a prior action, PSI was held liable for rent during the period of vacancy based on privity of estate. Subsequently, the Lessor relet the premises to a new tenant, Sir Pizza, for a lower rent. The Lessor then initiated this second lawsuit against PSI to recover the rent deficiency for the period after Sir Pizza took possession. PSI contended that it was not liable because it never contractually assumed the lease obligations, and its liability based on privity of estate ended when the Lessor relet the property, terminating PSI’s possessory interest.
