Hydrosphere Resource Consultants, Inc. (Hydrosphere) developed software products under contracts that were later assigned to EarthInfo, Inc. (EarthInfo). Under the agreements, EarthInfo was responsible for marketing, packaging, and distributing the products, while paying Hydrosphere ongoing royalties. A dispute arose over whether a new derivative product was subject to royalties. In response, EarthInfo unilaterally withheld all royalty payments on existing products, although it continued to pay fixed development fees. Hydrosphere sued for breach of contract. The trial court found EarthInfo’s withholding of royalties was a substantial breach, granted rescission of the contracts, and ordered EarthInfo to disgorge all net profits earned from the products after the date of the breach. The trial court credited EarthInfo for its acquisition costs and development fees paid after the breach but did not otherwise apportion the profits to account for EarthInfo’s marketing and other business contributions. The court of appeals affirmed, and the Supreme Court of Colorado granted certiorari.
