Plaintiff, Caporicci Footwear, Ltd., tendered twenty packages to Defendant, Federal Express Corp., for a Collect on Delivery (C.O.D.) shipment. The contract required FedEx to collect $97,800 in cashier’s checks upon delivery. The contract was comprised of the airbill and the incorporated FedEx Service Guide. The airbill contained a clause stating, “All checks… are collected at you [the shipper’s] risk, including risk of nonpayment and forgery.” The Service Guide permitted “indirect delivery”—delivery to a location other than the address on the airbill if instructed by the recipient—and disclaimed any agency relationship between FedEx and the shipper. The FedEx courier delivered the packages to the address on the airbill, a self-storage complex. An individual there, identifying himself as a representative of the consignee, instructed the courier to leave the packages outside a storage bay and provided two facially valid cashier’s checks for the correct amount. The checks were subsequently discovered to be fraudulent and drawn on a non-existent bank. Caporicci sued FedEx for breach of contract, negligence, and conversion, arguing FedEx should have been more diligent in verifying the recipient’s identity and delivery location.
