Plaintiff, World of Sleep, Inc., entered into a business arrangement with Colorado Sleepmasters, Inc. (Sleepmasters), a new corporation formed by defendant, Zel Seidenfeld. Sleepmasters executed a $40,000 promissory note and a sublease in favor of the plaintiff. The parties had a prior oral agreement that Seidenfeld would personally guarantee both the note and the sublease. The final promissory note document contained a written guarantee, which Seidenfeld signed. However, the text of this guarantee mistakenly referred only to the sublease agreement, not the note itself. The trial court found that the plaintiff believed the guarantee covered the note, constituting a unilateral mistake. It further found that Seidenfeld was aware of the plaintiff’s mistake at the time of signing but failed to disclose it. After Sleepmasters defaulted on the note, the plaintiff sued Seidenfeld on the guarantee. The trial court reformed the instrument to include a guarantee of the note and entered judgment for the plaintiff.
