In 1972, a trust was established for Gregor Woodward (Beneficiary), with Orator Woodward as Trustee. In 1996, Gregor sued Orator for breaches of fiduciary duty, including failure to account. That suit was dismissed with prejudice. During the pendency of that action, in 2002, Orator terminated the original trust and transferred all its assets into two new trusts, the El Bravo Trust and the Serena Woodward Trust. Gregor was not a beneficiary of these new trusts. Orator did not provide a formal accounting for this action until October 2011. The accounting disclosed the 2002 termination and transfer, and included a notice stating that any action for breach of trust must be commenced within six months of receipt. In April 2012, within the six-month period, Gregor filed a new suit against Orator for breach of fiduciary duty based on the 2002 termination and transfer. Orator asserted the affirmative defenses of res judicata and laches, arguing the matter was previously litigated and that Gregor had notice of the transfer in 2003. The trial court granted summary judgment for the Trustee, and the Beneficiary appealed.
