In 1993, Winn-Dixie Stores, Inc. implemented a broad-based company-owned life insurance (COLI) program covering approximately 36,000 of its employees. Winn-Dixie was the sole beneficiary of these policies. The program was structured for Winn-Dixie to borrow against the policies’ cash surrender values at an interest rate exceeding 11%. Internal memoranda established that the program’s sole purpose was to generate substantial interest deductions for tax arbitrage. On a pre-tax basis, the program was designed to lose money, as the high interest payments and administrative fees would always exceed the policies’ net cash surrender value and death benefits. However, the tax deductions from the interest payments were projected to yield billions in after-tax profits over 60 years. After a 1996 change in tax law jeopardized the program’s tax benefits, Winn-Dixie terminated its participation.
