Case Brief Summary & Legal Analysis

4 min read

tl;dr: An investment advisor sued a mutual fund for tortious interference after the fund restricted the advisor’s “market timing” trades. The court found the fund’s actions were not improper because they were motivated by a legitimate business purpose to protect all investors.

Legal Significance: Conduct motivated by a legitimate business purpose, without independently wrongful means, is not “improper” for a tortious interference claim, even if it makes a plaintiff’s contract performance more burdensome and breaches a related contract.

Case Facts & Court Holding

Key Facts & Case Background

Plaintiff Windsor Securities, an investment advisor, implemented a “market timing” strategy for its clients, including plaintiff Walter Arader. This strategy involved making frequent transfers between sub-accounts within variable annuity contracts issued by defendant Hartford Life Insurance. Hartford determined that this high-volume trading by a small number of market timers was detrimental to the mutual funds and the majority of contract owners, as it increased transaction costs and disrupted planned investment strategies. Pursuant to a resolution from the funds’ board of directors, Hartford instituted new rules requiring third-party agents like Windsor, who managed over $2 million in aggregate assets, to sign a Third Party Transfer Services Agreement (TPTSA). The TPTSA capped the total amount a third party could transfer on any given day at $5 million. Windsor refused to sign the TPTSA, which effectively prevented it from executing its market timing strategy for its clients. Windsor sued Hartford for tortious interference with its advisory contracts. Arader sued Hartford for breach of his annuity contract, which he claimed permitted unlimited transfers via his designated agent.
