Case Brief Summary & Legal Analysis

4 min read

tl;dr: The D.C. Circuit affirmed the enforcement of English money judgments against U.S. investors in Lloyd’s of London. The court rejected the investors’ public policy defense, finding they had contractually consented to the rules that led to the judgment and were bound by an exclusive forum selection clause.

Legal Significance: This case demonstrates the narrowness of the public policy exception for non-recognition of foreign judgments under the Uniform Foreign Money-Judgments Recognition Act. It reinforces the enforceability of broad forum selection clauses and the significant deference U.S. courts grant to judgments from comparable common law jurisdictions.

Case Facts & Court Holding

Key Facts & Case Background

Defendants Gillian and Uwe Siemon-Netto were investors, or “Names,” in the Society of Lloyd’s insurance market. As a condition of membership, they signed a “General Undertaking” which contained two key provisions: (1) an agreement to comply with all Lloyd’s Acts and any byelaws made thereunder, and (2) a forum selection clause granting exclusive jurisdiction to English courts for any disputes arising from their membership. In the early 1990s, facing catastrophic losses, Lloyd’s implemented a “Reconstruction and Renewal” (R&R) plan, creating a new entity, Equitas, to reinsure the Names’ liabilities. The plan was funded by premiums assessed against all Names. The Siemon-Nettos refused to pay. Pursuant to its byelaws, Lloyd’s appointed a substitute agent who accepted the Equitas reinsurance contract on the Siemon-Nettos’ behalf. Lloyd’s then sued them in England, as required by the forum selection clause, and obtained money judgments for the unpaid premiums. Lloyd’s subsequently filed an action in the U.S. District Court for the District of Columbia to enforce the English judgments under the D.C. Uniform Foreign Money Judgments Recognition Act. The Siemon-Nettos asserted affirmative defenses, primarily that the judgment was repugnant to public policy, and filed counterclaims for fraud.

Court Holding & Legal Precedent

Issue: Under the Uniform Foreign Money-Judgments Recognition Act, must a U.S. court enforce an English money judgment when the debtors argue that enforcement is repugnant to public policy because they did not personally assent to the specific contract that created the underlying debt?
