Plaintiff Eugene Severson, general manager of Froning Grain Company, negotiated with Mosebach, president of defendant Elberon Elevator, Inc., to purchase Elberon’s physical assets. Initial discussions for corporate stock at $75,000 (including tax loss carry-forward value) shifted to the physical assets. On March 4, 1973, Severson and Mosebach agreed on a $50,000 price for the physical assets, excluding inventory. Severson gave a $5,000 check as earnest money, noted as “ten percent earnest money on a $50,000 purchase price.” Severson contended a binding oral contract was formed, with a written document to merely memorialize it. Defendant argued no final agreement was reached on essential terms, and further negotiations for a written contract were contemplated. Key terms allegedly agreed upon included an April 1, 1973 possession date, maintenance of insurance by defendant, property tax apportionment, defendant’s promise to comply with bulk sales law, transfer of real estate by warranty deed, and assignment of a railroad lease.
