Case Brief Summary & Legal Analysis

4 min read

tl;dr: The Supreme Court held that an administrative agency can create and apply a new legal standard in a case-by-case adjudication, rather than through formal rulemaking. The SEC was permitted to prohibit corporate insiders from profiting on stock trades made during a reorganization, despite the absence of a pre-existing rule.

Legal Significance: This case establishes the foundational principle that an administrative agency has the discretion to formulate new policy through either quasi-legislative rulemaking or quasi-judicial ad hoc adjudication, even if the new standard has a retroactive effect on the parties in the proceeding.

Case Facts & Court Holding

Key Facts & Case Background

The Securities and Exchange Commission (SEC) was overseeing a corporate reorganization plan for the Federal Water Service Corporation. During this period, corporate officers and directors purchased the company’s preferred stock on the open market. The SEC approved the reorganization plan on the condition that these insiders surrender their purchased stock at cost plus accumulated dividends, preventing them from profiting. In a prior decision (Chenery I), the Supreme Court invalidated this order because the SEC had based its reasoning on general principles of equity that the Court found inapplicable. On remand, the SEC reached the same result but articulated a new rationale. It now based its order on its administrative experience and its interpretation of the Public Utility Holding Company Act of 1935, concluding that allowing the insiders to profit would be inconsistent with the statutory standards that plans be “fair and equitable” and not “detrimental to the public interest.” The insiders challenged the second order, arguing the SEC could not create a new standard of conduct and apply it retroactively in an adjudication but must instead proceed via prospective rulemaking.

Court Holding & Legal Precedent

Issue: Does an administrative agency have the authority to announce and apply a new standard of conduct through an ad hoc adjudicatory order, rather than through a general, prospective rule, even if it retroactively affects the parties involved?

Yes. The Supreme Court upheld the SEC’s order. The Court held that Lorem ipsum dolor sit amet, consectetur adipiscing elit, sed do eiusmod tempor incididunt ut labore et dolore magna aliqua.
