Two limited partnerships were formed to operate Hooters franchises, with Red River Wings, Inc. (controlled by Thomas Lavelle) as the general partner. A group of limited partners, holding a majority interest (the “majority partners”), became dissatisfied with the partnerships’ performance. Acting in concert, the majority partners used their voting power to remove Red River Wings as general partner and terminated the management contract with Lavelle’s company, LTM. They did so without notice to the minority partners and installed Hoot, Inc., a shell corporation controlled by majority partners Kesselring and Leno, as the new general partner. The majority partners failed to obtain the unanimous written consent of all partners for this substitution, which was required by statute to prevent dissolution. Under the new management, the restaurants performed poorly, lost their Hooters franchises, and were ultimately liquidated. The minority partners brought a derivative and individual action against the majority partners, alleging breach of fiduciary duty. The trial court found for the minority partners, and the majority partners appealed.
