N & N Holdings, LLC purchased a childcare facility from Primary Investments, LLC. The Asset Purchase Agreement (APA) was executed by Marguerite O’Brien solely in her representative capacity on behalf of Primary, LLC. The APA contained a non-competition clause stating “neither Seller nor its agents” would open a competing facility within a ten-mile radius for three years. The O’Briens (Marguerite and her daughters), who were members and managers of Primary, LLC, subsequently formed East Cobb Children’s Academy, LLC, and opened a new childcare facility within the restricted radius and timeframe. N & N Holdings and Wee Tender Care (the current operator) sued Primary, LLC, the O’Briens individually, and East Cobb for breach of the non-competition clause. The O’Briens were not individual signatories to the APA. Defendants counterclaimed for rescission of the APA, alleging fraud or mutual mistake concerning the non-compete radius, which had been changed from five to ten miles in a later draft of the APA that Marguerite O’Brien had the opportunity to review.
