Pillsbury Co., Inc. entered into a production contract with Wells Dairy, Inc. for the manufacture of Häagen-Dazs ice cream. The contract contained a force-majeure clause excusing nonperformance for specified events or “any other cause that is beyond the reasonable control of that party.” An explosion at Wells’ facility prevented it from fulfilling its contractual obligations. Subsequently, Pillsbury formed a joint venture, Ice Cream Partners USA (ICP), with Nestlé and contributed its Häagen-Dazs assets through a Contribution and Assumption Agreement. This agreement assigned most Häagen-Dazs-related contracts and causes of action to ICP but also contained language that could be interpreted as excluding the claim against Wells arising from the explosion. Pillsbury sued Wells for breach of contract. Wells moved for summary judgment, arguing first that the force-majeure clause excused its nonperformance, and second, that Pillsbury was not the real party in interest because it had assigned the claim to ICP. The district court granted summary judgment for Wells on both grounds. Pillsbury appealed.
