Mind & Motion Utah Investments, LLC (Buyer) entered into a Real Estate Purchase Contract (REPC) with Celtic Bank Corp. (Seller) to purchase property for a condominium development. The REPC contained a provision stating that Celtic Bank “shall record Phase 1” of the development plat by a specified date and “agrees to complete recording.” Recording the plat required approvals from various county government entities. The REPC also granted the Buyer “sole discretion” to extend the recording deadline. In other sections, the contract used explicitly conditional language, stating that the Buyer’s obligation to purchase was “conditioned upon Buyer’s approval” of certain disclosures and inspections. Celtic Bank failed to meet the initial recording deadline. Mind & Motion granted one extension, but the bank failed to meet the extended deadline as well.
