McDonald’s Corporation sought to acquire restaurants owned by the Garb-Stern group. The Garb-Stern group desired cash, while McDonald’s preferred to use its stock to qualify for ‘pooling of interests’ accounting. The parties structured a statutory merger whereby the Garb-Stern group received McDonald’s common stock. Although the Garb-Stern group was not contractually obligated to sell the stock, they had a clear and settled intention to liquidate their holdings promptly. The merger agreement was designed to facilitate this, granting the group ‘piggyback’ and demand registration rights, which were essential for selling the unregistered shares.
