Dutch Inn of Orlando, Ltd., a limited partnership, owned and operated a large hotel near Disney World. The partnership initiated a Chapter XII bankruptcy proceeding. The limited partnership agreement contained a provision, paragraph 6(a), stating that the hotel could not be sold without the consent of the limited partners. However, another provision, paragraph 9, granted the general partners “full charge of the management, conduct and operation of the Partnership’s business.” Furthermore, the Certificate of Limited Partnership, filed with the Florida Secretary of State, granted the general partners broad authority to manage and convey property without mentioning the restriction in paragraph 6(a). The bankruptcy court found that the partnership’s total liabilities exceeded the value of its assets, rendering it insolvent, though it had substantial equity in its leasehold. To fund a plan of arrangement, the general partners petitioned to sell the hotel. A minority of limited partners objected, citing the consent requirement in paragraph 6(a). The bankruptcy court approved the sale, ruling the limited partners lacked standing. The district court affirmed.
