During World War II, Congress passed the Renegotiation Act, authorizing government officials to renegotiate war-related contracts and subcontracts to recapture any profits deemed “excessive.” The petitioners in these consolidated cases were subcontractors who produced materials for the war effort. Pursuant to the Act, the Under Secretary of War determined that each petitioner had realized excessive profits and issued unilateral orders for them to repay specific amounts to the U.S. Treasury. The Act, as amended in 1944, provided an exclusive remedy for aggrieved contractors: the right to a de novo redetermination of excessive profits in the Tax Court. None of the petitioners filed a petition with the Tax Court within the statutory period. When the government sued in federal district court to enforce the repayment orders, the petitioners challenged the Act’s constitutionality on its face.
