Case Brief Summary & Legal Analysis
tl;dr: A seller sought to reclaim goods from an insolvent buyer. The court held the seller’s reclamation right under UCC § 2-702 prevails over a creditor’s pre-existing, perfected security interest in the buyer’s after-acquired property, as the secured creditor is not a “good faith purchaser” for this purpose.
Legal Significance: This case establishes that a seller’s UCC § 2-702 reclamation right is superior to a pre-existing security interest in after-acquired property. It rejects the influential In re Samuels view, holding that reclamation is a right of rescission, not a subordinate security interest.

Case Facts & Court Holding
Key Facts & Case Background
Several creditors held perfected security interests in the after-acquired property of the debtor, Emery Corp. These security interests were established prior to the transaction at issue. On March 1, 1983, Lavonia Manufacturing Co. (“Lavonia”) delivered yarn on credit to Emery. At the time of receipt, Emery was insolvent. Two days later, Emery filed for reorganization under Chapter 11 of the Bankruptcy Code. Lavonia then made a timely written demand for the return of the yarn pursuant to its reclamation rights under UCC § 2-702. Emery, as debtor-in-possession, did not dispute that Lavonia had a prima facie right to reclaim but resisted the demand. Emery argued that the reclamation right was subordinate to the rights of its secured creditors, whose after-acquired property clauses attached to the yarn upon delivery, allegedly cutting off Lavonia’s claim under UCC § 2-702(c).
