Petitioner, the Kiowa Tribe of Oklahoma, is a federally recognized Indian Tribe. In 1990, a tribal entity agreed to purchase stock from respondent, Manufacturing Technologies, Inc. The chairman of the Tribe’s business committee executed a promissory note for $285,000 in the Tribe’s name. While the note was signed at Carnegie, Oklahoma, on land held in trust for the Tribe, the respondent alleged the note was executed and delivered in Oklahoma City, off the Tribe’s lands, and required payments to be made there. The note contained a clause stating, “Nothing in this Note subjects or limits the sovereign rights of the Kiowa Tribe of Oklahoma.” After the Tribe defaulted on the note, Manufacturing Technologies filed suit in Oklahoma state court. The Tribe moved to dismiss, asserting sovereign immunity. The Oklahoma Court of Civil Appeals affirmed a trial court judgment for the respondent, holding that tribal immunity does not extend to off-reservation commercial conduct. The U.S. Supreme Court granted certiorari.
