Plaintiff Kelsey-Hayes Co. (KH) had a three-year requirements contract with Defendant Galtaco Redlaw Castings Corp. for castings at fixed prices. Galtaco was KH’s sole source for these parts, which were essential for brake assemblies KH sold to major auto manufacturers. In 1989, Galtaco, experiencing severe financial losses, announced it was ceasing operations. It threatened to halt production immediately unless KH agreed to a 30% price increase. Unable to find an alternative supplier for 18-24 weeks and facing the imminent shutdown of its customers’ assembly lines, KH agreed to the new price. A month later, Galtaco demanded a second 30% increase, as KH was now its only customer. KH again acquiesced. Throughout this period, KH vigorously protested the demands but did not expressly reserve its right to sue under the original 1987 contract. KH accepted all shipments but later refused to pay for the final deliveries, an amount approximating the total price increases.
