Case Brief Summary & Legal Analysis

4 min read

tl;dr: A food wholesaler sued a manufacturer for failing to disclose a new sales strategy that destroyed the wholesaler’s market. The court allowed the fraud claim, finding a duty to disclose and creating an exception to the economic loss doctrine for fraud extraneous to the contract.

Legal Significance: This case establishes a duty to disclose material facts in certain commercial transactions and adopts Wisconsin’s narrow “extraneous fraud” exception to the economic loss doctrine, allowing a tort remedy for fraudulent inducement despite a contractual relationship.

Case Facts & Court Holding

Key Facts & Case Background

Kaloti Enterprises, Inc., a food wholesaler, had an established business practice of purchasing products from Kellogg Sales Co. through Kellogg’s agent, Geraci & Associates, Inc. Kaloti’s business model, known to Kellogg, was to resell these products as a “secondary supplier” to large market stores. After Kellogg acquired Keebler Foods, it secretly changed its marketing strategy to sell directly to the same stores Kaloti supplied, effectively eliminating Kaloti’s market. Knowing of this change and that it would take Kaloti three months to resell a large order, Geraci solicited a $124,000 “quarterly promotion order” from Kaloti. Geraci and Kellogg did not disclose the new direct-sales plan. Shortly after Kaloti purchased the goods, its customers informed Kaloti they would now buy directly from Kellogg. Kaloti was unable to resell the product and suffered a substantial loss. Kaloti sued for intentional misrepresentation by omission, alleging it was fraudulently induced into the contract.

Court Holding & Legal Precedent

Issue: Does the economic loss doctrine bar a claim for intentional misrepresentation by omission where a seller fails to disclose a material fact extraneous to the contract that it knows will undermine the buyer’s purpose for entering the transaction?
