Jaber leased a building for a five-year term, with the lease stipulating termination if the premises were destroyed by fire. Jaber later transferred his interest to Norber & Son via an instrument titled “Contract and Assignment,” which purported to transfer the lease “for the remainder of the term.” Consideration included cash and promissory notes. Norber & Son agreed to pay the original monthly rent to the property owner, and Jaber reserved a right to retake possession upon default. Miller subsequently acquired the lease from Norber & Son, and, unable to meet the original note schedule, executed new monthly promissory notes with Jaber. After the building was destroyed by fire, Miller sued to cancel the outstanding notes, arguing the transfer was a sublease that terminated with the primary lease.
