Case Brief Summary & Legal Analysis
tl;dr: A debtor challenged a creditor’s claim, arguing the promissory note was improperly transferred into a securitized trust. The court held that because the creditor was the holder of a negotiable instrument under the UCC, the debtor lacked standing to challenge alleged defects in the transfer.
Legal Significance: Reinforces that under UCC Article 3, an obligor on a negotiable instrument lacks standing to challenge alleged defects in a securitization process, as payment to the holder discharges the obligor’s obligation, thereby preventing any injury-in-fact required for standing.

Case Facts & Court Holding
Key Facts & Case Background
Debtor Janice Walker executed a promissory note payable to Allied Mortgage Group, Inc., secured by a mortgage. The note contained a blank indorsement from Allied’s president. The loan was subsequently securitized and intended for a trust, for which the Bank of New York Mellon (BNYM) served as trustee. The transfer was governed by a Pooling and Servicing Agreement (PSA) that specified a “closing date” of November 30, 2005. However, BNYM, the trustee, did not gain physical possession of the original, indorsed note until January 6, 2006, after the PSA’s closing date. After Walker filed for Chapter 13 bankruptcy, BNYM filed a proof of claim as a secured creditor based on its possession of the note. Walker objected to the claim, not on the amount owed, but on BNYM’s right to enforce the debt. She argued that the late delivery of the note violated the PSA’s terms, rendering the transfer to the trust void under New York trust law and depriving BNYM of any enforceable interest in the note. She also made a secondary argument that the note was not a negotiable instrument.
