Tesoro Petroleum Corporation participated in the Securities and Exchange Commission’s (SEC) “voluntary disclosure program” regarding potentially illegal payments to foreign officials. To do so, Tesoro hired the law firm Fulbright & Jaworski to conduct an internal investigation. Tesoro then voluntarily disclosed the results of the investigation, including a final report and attorney notes, to the SEC in hopes of receiving lenient treatment. The SEC was an adversary, and the disclosure was motivated by Tesoro’s self-interest. Subsequently, private plaintiffs brought shareholder class action and derivative suits against Tesoro, alleging stock manipulation related to the matters investigated. In that litigation, the plaintiffs served subpoenas on Tesoro’s law firms, Fulbright & Jaworski and Vinson & Elkins, seeking the same documents previously provided to the SEC. The law firms refused to comply, asserting attorney-client and work-product privileges. The plaintiffs moved to compel production, arguing that the voluntary disclosure to the SEC waived any privilege.
