Johnston & Murphy Shoes, Inc. (“Seller”) delivered a shipment of shoes to Mel Golde Shoes, Inc. (“Buyer”). The following day, two of the Buyer’s creditors, Meinhard Commercial Corporation and William Iselin & Company (“Creditors”), levied attachments against the Buyer’s entire inventory, including the recently delivered shoes. Eight days later, the Buyer filed for Chapter XI bankruptcy, admitting its insolvency as defined by the Uniform Commercial Code (UCC). The day before the bankruptcy filing, and within the ten-day period prescribed by the UCC, the Seller made a timely demand for reclamation of the shoes pursuant to Kentucky’s version of UCC § 2-702(2). The Seller then filed a reclamation petition in the bankruptcy court. The bankruptcy referee ruled in favor of the Seller, but the District Court reversed, holding that the Creditors’ attachment liens had priority over the Seller’s right of reclamation. The Seller appealed.
