IBP, Inc. (IBP) and Tyson Foods, Inc. (Tyson) entered into a Merger Agreement after a competitive auction. Tyson was aware of significant issues at IBP, including accounting irregularities at its subsidiary DFG Foods and IBP’s projected earnings shortfall for FY 2000, before signing. The Merger Agreement contained Schedule 5.11, which disclosed potential further liabilities associated with DFG’s improper accounting practices. Post-signing, IBP’s performance in late 2000 and early 2001 was poor, partly due to a severe winter affecting livestock.
