William Randolph Hearst’s will created a trust, with its corpus consisting solely of Hearst Corporation stock. The plaintiffs were income beneficiaries, and others were remainder beneficiaries. The will granted the trustees broad discretion to manage the trust, including the power to retain assets regardless of income produced and to decide what constitutes income versus principal. It also contained a broad no-contest clause and an exculpatory clause limiting trustee liability to “gross neglect or fraudulent misconduct.” The trustees, following a policy of reinvesting approximately 80% of corporate earnings for growth, produced an annual income yield of around 1.25% for the income beneficiaries. The beneficiaries proposed to sue the trustees for breach of the fiduciary duty of impartiality, seeking damages and an order to increase future income distributions. They first filed a “safe harbor” petition under Cal. Prob. Code § 21320 to determine if this proposed suit would violate the no-contest clause.
