Plaintiff Edward Hayes was an employee of Defendant Plantations Steel Co. from 1947 to 1972. In January 1972, Hayes announced his intention to retire that July. Approximately one week before his retirement, an officer of Plantations told Hayes that the company “would take care” of him. There was no formal pension plan, and no specific amount was discussed. After retiring, Hayes received $5,000 annually from 1973 through 1976. The company officer testified the payments were a “token of appreciation” and that it was his “personal intention” for them to continue. After a change in management and poor business years, Plantations stopped the payments in 1977. Hayes sued, alleging breach of an implied-in-fact contract and, alternatively, promissory estoppel. The trial court found for Hayes, concluding that his retirement constituted consideration and that he had detrimentally relied on the promise. Plantations appealed.
