Facing community opposition, Taco Bell failed to file its permit application until one day before the contractual six-month permitting period expired, at which point it also repudiated the lease. Plaintiffs initially rejected this repudiation, stating they would hold Taco Bell liable. Subsequently, District Judge Spatt granted summary judgment for plaintiffs on liability, finding Taco Bell failed to exercise due diligence. During the damages trial, evidence revealed that plaintiffs, despite their earlier rejection of repudiation, later negotiated directly with Rite-Aid to lease the premises for their own benefit.
