Author Neil Gaiman was hired by illustrator and publisher Todd McFarlane to write the script for issue No. 9 of the comic book Spawn. The parties had an oral agreement that was not a work-for-hire arrangement, and no written assignment of copyright was executed. Gaiman’s script introduced three new characters: Angela, Medieval Spawn, and Count Nicholas Cogliostro. Gaiman provided their names, descriptions, dialogue, and narrative roles, while McFarlane created their visual depictions. McFarlane subsequently published the comic book and derivative works with copyright notices solely in his name and obtained copyright registrations. For years, the parties’ relationship continued, with McFarlane sending Gaiman payments and royalty reports that referred to Gaiman as a “co-creator.” In 1999, after negotiations broke down, McFarlane sent Gaiman a letter explicitly stating that McFarlane’s company would “continue to own” all rights to Medieval Spawn and Cogliostro, thereby repudiating Gaiman’s ownership interest. Gaiman filed suit in 2002 seeking a declaration of co-ownership. McFarlane conceded co-ownership of Angela but argued that Medieval Spawn and Cogliostro were uncopyrightable stock characters and that, in any event, Gaiman’s claim was barred by the three-year statute of limitations.
