Diesel Power Equipment, Inc. (Diesel) negotiated to purchase the Nicholson Engine Group (NEG) division from ADDCO, Inc. After preliminary discussions, the parties exchanged several draft letters of intent. On September 11, 2001, ADDCO’s president signed a revised Letter of Intent outlining a purchase price of $1,290,400 and key asset valuations. The letter stated it was an “agreed in principle” deal and included language anticipating a successful purchase: “should we be successful in purchasing the NEG company.” Following the signing, Diesel’s consultant prepared a formal Asset Purchase Agreement. A second draft of this agreement, dated October 24, contained material changes from the Letter of Intent. It introduced a $50,000 non-compete agreement for ADDCO’s principals, reallocated asset values, altered the total purchase price, and added a contingency for the engine manufacturer’s (Deutz) approval. Neither draft purchase agreement was ever signed. In late October, ADDCO received a higher offer from Interstate Companies, Inc. and, after informing Diesel, sold the NEG division to Interstate for $2,181,896. Diesel sued ADDCO for breach of contract, arguing the September 11 Letter of Intent was a binding agreement.
