Case Brief Summary & Legal Analysis

4 min read

tl;dr: A seller’s disclaimer, included in an acknowledgment form that conditioned acceptance on assent to its terms, was not part of the contract because the buyer’s continued performance after objecting did not constitute the required unequivocal assent under UCC § 2-207.

Legal Significance: This case clarifies that under UCC § 2-207, mere performance does not constitute assent to an expressly conditional acceptance. To avoid reinstating the common law ‘last shot’ rule, assent must be specific and unequivocal; otherwise, conflicting terms are resolved by UCC § 2-207(3).

Case Facts & Court Holding

Key Facts & Case Background

For ten years, Krack Corp. (buyer) purchased steel tubing from Metal-Matic, Inc. (seller). Krack would send a purchase order, and Metal-Matic would respond with an acknowledgment form before shipping the tubing. Metal-Matic’s form contained a disclaimer of liability for consequential damages and limited its liability to refund, repair, or replacement. Crucially, the form stated that Metal-Matic’s acceptance was “expressly made conditional to purchaser’s acceptance of the terms and provisions of the acknowledgment form.” At one point, Krack’s purchasing manager explicitly objected to the disclaimer terms in a discussion with Metal-Matic’s executive, who refused to alter them. Despite this unresolved dispute, the parties continued to transact business, with Krack accepting and paying for the tubing. When a defective tube from Metal-Matic caused a leak in a cooling unit sold by Krack, resulting in consequential damages to a third party (Diamond Fruit Growers), Krack sought indemnity from Metal-Matic. Metal-Matic asserted its disclaimer of liability as a defense.

Court Holding & Legal Precedent
