Three corporations engaged in the land development business, all owned by the same families, transferred all their assets and liabilities to a newly formed life insurance company. Immediately thereafter, the shareholders of the three transferor corporations surrendered their stock, and the corporations were liquidated. In exchange, the new insurance company issued all its voting stock directly to the former shareholders of the liquidated corporations. The result was that the same group of shareholders now owned the same underlying assets, but those assets were held by a new corporate entity engaged in an entirely different business—insurance rather than land development. The Commissioner of Internal Revenue had issued an advance ruling that the transaction was a taxable event because of the change in business type. The plaintiff taxpayers paid the resulting income tax on the exchange of their stock and then sued for a refund, contending the transaction qualified as a tax-free reorganization.
