In 1960, Farr, Whitlock & Co., an American commodity broker, contracted to purchase sugar from C.A.V., a Cuban corporation principally owned by U.S. residents. In response to the U.S. reducing Cuba’s sugar quota, the Cuban government passed Law No. 851, authorizing the expropriation of property held by U.S. nationals. Pursuant to this law, Cuba expropriated the sugar contracted by Farr, Whitlock, which was located in Cuban territorial waters. To secure the sugar’s release, Farr, Whitlock entered into a new contract with Banco Para el Comercio Exterior de Cuba, an instrumentality of the Cuban government. The bills of lading were assigned to petitioner, Banco Nacional de Cuba, another state instrumentality. Upon receiving payment for the sugar from its customer, Farr, Whitlock refused to remit the proceeds to Banco Nacional’s agent. Instead, it transferred the funds to Sabbatino, a court-appointed receiver for C.A.V.’s assets in New York. Banco Nacional sued for conversion. The lower courts ruled against Banco Nacional, finding the expropriation violated international law and that the act of state doctrine was therefore inapplicable.
