Plaintiff American International Group, Inc. (AIG) sued its former directors and officers, including Maurice Greenberg (collectively, “defendants”). The defendants also served as directors and voting shareholders of an affiliate, Starr International Company, Inc. (SICO). Following a 1970 reorganization, SICO held a substantial block of AIG stock (the “shares”), allegedly in trust for the benefit of AIG and its employees. This arrangement was intended to fund AIG’s employee compensation plans and protect AIG from hostile takeovers. AIG alleged that for over 35 years, the defendants repeatedly pledged, both expressly and through their actions, to act as fiduciaries for the shares and preserve them for AIG’s benefit. In 2005, after Greenberg resigned as AIG’s CEO amid an accounting scandal, the defendants allegedly seized control of SICO, removed AIG executives from SICO’s board, cancelled the AIG compensation plan, and began selling the shares for SICO’s own enrichment. AIG sued for breach of fiduciary duty, alleging the defendants misappropriated assets they had pledged to protect for AIG’s benefit.
