American Community Stores (ACS), a tenant operating Hinky Dinky grocery stores, held long-term leases that prohibited assignment without the landlord’s prior written consent but permitted subletting. The leases provided a 20-day period to cure any defaults. Facing business difficulties, ACS arranged to transfer its stores to Nash-Finch Company. Initially, the parties executed assignment agreements. The landlords refused to consent and issued notices of default. To cure the default within the 20-day period, ACS and Nash-Finch destroyed the assignment documents and executed new agreements structured as subleases. Under these new agreements, the term of each sublease expired two days before the expiration of ACS’s corresponding prime lease. The agreements also granted Nash-Finch the right to exercise the renewal options contained in the prime leases. The landlords (defendants) sued, arguing the new agreements were functionally assignments in violation of the lease covenants and that the default was not cured.
