Congress enacted the Gramm-Leach-Bliley Act (GLBA) to require ‘financial institutions’ to protect customer privacy. The GLBA defined ‘financial institution’ as an entity ‘the business of which is engaging in financial activities’ as described in the Bank Holding Company Act (BHCA). The BHCA, in turn, incorporated by reference the Federal Reserve’s Regulation Y, which listed permissible nonbanking activities for bank holding companies, including ‘providing real estate settlement services’ and ‘providing tax-planning and tax-preparation services.’ The Federal Trade Commission (FTC), an enforcing agency under the GLBA, issued a letter asserting that attorneys who perform such services are ‘financial institutions’ subject to the Act’s privacy rules. The FTC’s own regulation slightly altered the statutory definition, covering any institution ‘significantly engaged in financial activities.’ The American Bar Association (ABA) and the New York State Bar Association challenged the FTC’s interpretation in federal court, seeking a declaratory judgment that the agency had exceeded its statutory authority.
