Texas Instruments (TI) and Tessera, Inc. entered into a patent license agreement for semiconductor technology. The agreement contained a forum selection clause stating that any “litigation…which may arise from, under, out of or in connection with this Agreement…shall be litigated in the State of California.” A dispute arose over whether certain TI products were covered by the licensed patents. After negotiations failed, Tessera terminated the agreement and filed a complaint under Section 337 of the Tariff Act of 1930 with the International Trade Commission (ITC) in Washington, D.C., alleging patent infringement by TI’s imported products. Prior to Tessera’s ITC filing, TI had filed an action for declaratory judgment of non-infringement in the Central District of California. In response to the ITC action, TI sought a preliminary injunction in the California district court to stop Tessera from pursuing the ITC proceeding, arguing it violated the agreement’s forum selection clause. The district court denied the injunction, concluding that an ITC proceeding was not “litigation” as contemplated by the contract.
