During a contested election for the board of directors of General Electrodynamics Corporation, two factions solicited proxies. Francis Salgo, the president and chairman of the stockholders’ meeting, appointed Julian Meer as the election inspector. An insurgent faction, led by Joe Matthews, tendered several disputed proxies to Meer. The key disputed proxies were for a large block of shares registered to Pioneer Casualty Company, a corporation in receivership. The receiver, under court order, had authorized a proxy to be given to the Matthews faction. Meer, the inspector, refused to accept the Pioneer proxies as well as two other telegraphic proxies. The acceptance or rejection of these proxies would determine the election’s outcome. Before the inspector certified a final result, the Matthews faction obtained an injunction from the district court compelling the inspector to accept the disputed proxies and ordering the chairman to declare the Matthews slate elected. The incumbent management faction appealed the injunction.
