PolyGram Holding, Inc. and Warner Communications, Inc. were competitors, each distributing a highly successful “Three Tenors” concert album from 1990 and 1994, respectively. In 1997, they formed a joint venture to distribute a new 1998 Three Tenors album. Subsequently, they entered into a separate “moratorium agreement” to suspend all advertising and price discounting of their two earlier, competing albums for a ten-week period surrounding the new album’s release. PolyGram argued this restraint was necessary to prevent each company from “free-riding” on the joint venture’s promotional efforts for the 1998 album; without the moratorium, consumers attracted by the new album’s marketing might purchase the older, discounted albums instead. The Federal Trade Commission (FTC) initiated an enforcement action, alleging the moratorium was an unfair method of competition under § 5 of the FTC Act. The FTC found the agreement unlawful, concluding it was an “inherently suspect” restraint without a valid procompetitive justification. PolyGram petitioned for review.
