The Pension Benefit Guaranty Corporation (PBGC) is a federal agency that insures private defined benefit pension plans under the Employee Retirement Income Security Act of 1974 (ERISA). LTV Corporation, in Chapter 11 bankruptcy, had chronically underfunded pension plans. To avoid massive liabilities, the PBGC involuntarily terminated the plans pursuant to its authority under ERISA § 4042. Following the termination, LTV negotiated new ‘follow-on’ plans with its employees. These plans were designed to supplement the PBGC’s guaranteed payments, effectively restoring the employees to the same financial position they were in before termination. The PBGC had a longstanding policy against such plans, viewing them as an abuse of the termination insurance system that shifted ongoing pension costs to the government. Citing this anti-follow-on policy and LTV’s improved financial condition, the PBGC issued a ‘notice of restoration’ under ERISA § 4047, ordering LTV to resume responsibility for the plans. The Court of Appeals held the PBGC’s decision was arbitrary and capricious because the agency failed to consider bankruptcy and labor law policies, its anti-follow-on policy was not authorized by statute, and its decision-making process was procedurally inadequate.
