Plaintiff Nationwide Contractor Audit Service, Inc. (Nationwide), a Pennsylvania corporation, and Defendant National Compliance Management Services, Inc. (NCMS), a Kansas corporation, were competitors in the field of regulatory compliance auditing for the oil and gas industry. Nationwide was co-founded by Richard Rippert, a former key employee of NCMS who continued to work from his home in Kansas after forming Nationwide. Nationwide alleged that NCMS’s president, from her office in Kansas, made false statements to one of Nationwide’s prospective clients in Pennsylvania, Equitable Resources, Inc. Specifically, she allegedly stated during a phone call that Rippert was still bound by a non-compete agreement with NCMS. This communication, along with similar alleged statements to clients in Texas and Ohio, formed the basis of a tortious interference claim. NCMS’s contacts with Pennsylvania were limited to contracts with four of its 85 clients (generating less than 6% of its revenue) and a nationally accessible, interactive website. The website allowed clients to exchange information and download forms but did not permit online contract formation. NCMS had no offices, employees, or property in Pennsylvania.
