Plaintiff, National Conversion Corp. (tenant), leased industrial premises from Defendant, Cedar Building Corp. (landlord), to operate a garbage-to-fertilizer conversion plant. The lease agreement, executed by both parties who were represented by counsel, contained an express representation by the landlord that the property was located in an “unrestricted” zoning district. During negotiations, when the tenant’s lawyer suggested adjourning to verify the zoning, the landlord’s principal, who was also a lawyer, dissuaded him by stating, “we own the property, and we know the area… it is in an unrestricted zone… We guarantee it.” In fact, the property was in an M-1 (light manufacturing) zone, which imposed significant performance standards and expenses for the tenant’s proposed use that would not have been required in an unrestricted or M-3 (heavy manufacturing) zone. After the tenant installed equipment but before beginning full operations, the city filed violations based on the zoning non-compliance. The tenant was forced to cease operations and sued for damages based on fraud in the inducement. The trial court found for the tenant, and the landlord appealed.
